Platform Terms

1. Agreement and authority

These Platform Terms form an agreement between Northern Axis, LLC, doing business as Nordax Digital (“Nordax Digital”), and the person or organization accepting them. Nordax OS is a product of Nordax Digital. If you accept for a business or another organization, you represent that you have authority to bind it. Tenant owners are responsible for invited users, account configuration, and activity performed under their tenant.

These terms incorporate the Acceptable Use Policy, Privacy Policy, Messaging Terms, and, where applicable, the Data Processing Addendum. An order, proposal, statement of work, or module-specific term may add to these terms; the more specific term controls in the event of a direct conflict.

2. Eligibility and beta service

Nordax OS is currently offered in private beta to eligible Nordax Digital clients. Access is not guaranteed and may depend on service relationship, industry, implementation readiness, payment status, compliance review, and available capacity.

Beta features may be incomplete, change without notice, contain errors, or be withdrawn. Do not use a beta feature as the sole system for emergency response, life-safety activity, legally required recordkeeping, or another use where failure could cause serious harm.

3. Accounts, tenant administration, and users

Users must provide accurate information, protect credentials, use individual accounts, and promptly report suspected compromise. Tenant owners control user invitations, roles, permissions, modules, customer-facing settings, and lawful instructions given to Nordax Digital.

Nordax Digital controls infrastructure-level setup, provider credentials, AWS End User Messaging configuration, platform-wide security, and module enablement. A tenant may configure the behavior of enabled modules but may not bypass platform administration, tenant isolation, billing controls, or safety restrictions.

4. Fees, billing, and nonpayment

Fees, usage allowances, billing periods, and module charges are stated in the applicable order or account. Unless otherwise stated, fees are due in advance, usage charges may be billed in arrears, and taxes are the customer’s responsibility. Payment processing may be provided by Stripe.

If payment is overdue, Nordax Digital may pause paid or write-enabled operations, outbound communications, automations, integrations, publishing, widgets, and APIs. Core billing information and retained business records will remain available on a read-only basis to the extent required by the agreement and applicable law. A pause does not cancel accrued fees, erase billing history, or automatically delete retained data.

Customer-facing publishing, widgets, or APIs may be disabled after a reasonable cure period, which may be 30 days unless the order specifies otherwise. Access may be restored after payment and required reconfiguration. Nordax Digital may impose spending, message, or usage limits to protect the platform and tenant from unexpected charges.

5. Customer data and responsibilities

The tenant retains its rights in customer data and grants Nordax Digital the limited rights needed to host, process, transmit, back up, secure, and support that data. The tenant is responsible for the lawfulness, accuracy, quality, and instructions associated with its data.

The tenant must provide required notices, obtain valid permissions and messaging consent, honor suppression requests, configure user access appropriately, and avoid entering information it has no right to process. Nordax Digital may remove or restrict data or activity that violates law, these terms, provider rules, or the rights of others.

6. Connected services and APIs

Optional features may connect to Google, Meta, Stripe, AWS, Shopify, or other services. Use of a third-party service is governed by that provider’s terms. The tenant authorizes Nordax OS to access and act on connected accounts only within the permissions granted by the user.

API keys and integration credentials must be protected and used only for the assigned tenant and approved purpose. Nordax Digital may rotate, limit, suspend, or revoke credentials to address risk, misuse, nonpayment, provider requirements, or a terminated integration.

7. Service changes and availability

Nordax Digital may improve, replace, limit, or discontinue features and may perform maintenance needed to protect the service. We will use commercially reasonable efforts to communicate material changes and minimize disruption, but uninterrupted or error-free operation is not guaranteed. Support scope and response commitments are those stated in the applicable service agreement.

8. Ownership and feedback

Nordax Digital and its licensors own Nordax OS, platform code, designs, documentation, workflows, trademarks, and derivative improvements, excluding tenant data and tenant-owned branding. A tenant receives a limited, nonexclusive, nontransferable right to use enabled services during its authorized subscription. Feedback may be used without restriction or compensation, provided it does not identify confidential tenant data.

9. Confidentiality

Each party will protect the other party’s nonpublic business, technical, security, and customer information using reasonable care and use it only for the agreement. Confidentiality obligations do not apply to information lawfully known without restriction, independently developed, publicly available without breach, or required to be disclosed by law.

10. Suspension and termination

Nordax Digital may suspend access when reasonably necessary for security, legal compliance, provider restrictions, material breach, nonpayment, or risk to the platform or another person. When practical, we will provide notice and an opportunity to cure.

Upon termination, the tenant must stop using the platform and pay amounts due. Data export and deletion are handled under the applicable order, the Privacy Policy, and the Data Processing Addendum. Provisions concerning payment, ownership, confidentiality, disclaimers, liability, indemnity, and disputes survive termination.

11. Disclaimers and liability

To the maximum extent permitted by law, Nordax OS and beta features are provided “as is” and “as available.” Nordax Digital disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. Nordax OS does not provide legal, tax, accounting, medical, emergency, or financial advice.

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, or loss of business opportunity. Nordax Digital’s aggregate liability arising from Nordax OS will not exceed fees paid for the affected service during the twelve months before the event giving rise to the claim. These limitations do not apply where prohibited by law.

12. Indemnity, law, and changes

The tenant will defend and indemnify Nordax Digital from third-party claims arising from tenant data, tenant communications, unlawful instructions, violation of these terms, or infringement caused by materials supplied by the tenant, except to the extent caused by Nordax Digital’s breach.

These terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules. State and federal courts located in Georgia will have exclusive jurisdiction unless an applicable written agreement requires another forum.

Material changes will be posted and may require renewed acceptance by tenant owners or invited users. Continued use after the stated effective date constitutes acceptance where permitted by law.
